The Role:


NW Natural has an in-house Associate Counsel opportunity for a mid-level corporate, securities and finance attorney for our holding company, gas utility and water businesses. The successful candidate will focus primarily on supporting the Vice President, Chief Compliance Officer and Corporate Secretary in the areas of corporate, securities, finance, governance, shareholder services, compliance and other similar matters, and will have some primary responsibilities with respect to certain subsidiaries. This person will report to the Vice President, Chief Compliance Officer and Corporate Secretary, and will be a member of the Corporate Secretary and Business Integrity/Compliance teams.

Day to Day:


Public Company Work:

  • Assist with preparation of Board meeting materials, resolutions and related materials for the parent holding company and NW Natural Gas Company Board of Directors and help to monitor Board delivery process
  • Assist in all manner of Board support for a public company Board and its subsidiaries
  • Assume primary responsibility for: Section 16 filings (assist in administering insider trading policies), related party transactions reports and related presentations, initial drafts of NYSE compliance filings, annual reports and regulatory reports filed with various state regulatory agencies
  • Assist with various other corporate and governance matters, including the administration of corporate policies, Board and Committee Charters and other Board Governance documents, and other Company policies and procedures to ensure compliance with laws, regulations and rules applicable to public companies
  • Perform research on emerging governance trends, SEC and NYSE issues, general legal issues, securities laws and regulations and disclosure and governance best practices
  • Provide support for Annual Shareholder Meeting: participate in drafting of materials and preparation for the Company’s Annual Shareholder meeting, including Proxy Statement and other materials.
  • Assist with NYSE reporting compliance and listing applications
  • Provide legal work and research and some initial support drafting to support Vice President & Corporate Secretary SEC reporting functions (including 10-Ks, 10-Qs, 8-Ks) 
  • Assist with debt and equity securities registrations from time to time
  • Assist in disclosure reviews for various public statements and presentations


Finance Work

  • Provide legal support for equity and debt offerings of the Company and its subsidiaries from time to time
  • Provide legal support for ongoing maintenance of Medium-Term Note Mortgage program


Company Subsidiary Work

  • Assist in oversight of corporate and governance compliance work for the Company’s subsidiaries
  • Prepare minutes and board materials, and other documentation of Board and Shareholder action, and maintain minute books for the Company’s subsidiaries’ Boards of Directors meetings
  • Identify legal issues in subsidiaries and coordinate appropriate substantive expertise

Come on your first day with:


  • J.D. or equivalent from well-respected U.S. law school with strong academic credentials.
  • Must be a licensed attorney in good standing in the U.S. and able to practice in Oregon.
  • 6 or more years of significant experience in corporate, governance and securities law compliance, with at least 4 of those years in a well-respected law firm.    
  • Demonstrated excellent written and verbal communication and interpersonal skills.
  • Proficiency with Word software programs; some experience in Excel and PowerPoint
  • Comfort dealing with financial information and some proficiency with numbers
  • Solid understanding of SEC, NYSE, SOX and other governance and compliance requirements and best practices.
  • Experience managing due diligence, financing, disclosure filings, etc.
  • Ability to adapt to new subject matter areas easily and assimilate information quickly to develop additional areas of expertise.
  • Strong written and oral communication skills.
  • Exceptional legal reasoning, analytical and problem-solving skills, with the ability to think strategically.
  • Good judgment and ability to act as a trusted business advisor, with professionalism and integrity and the ability to handle sensitive and confidential information.
  • Desire to work on general corporate matters and various other matters arising in in-house role.
  • Ability to maintain effective relationships with team members on a small team, as well as colleagues on all employee levels, including senior and mid-level management, business partners, vendors, and outside legal counsel.
  • Proactive and self-motivated, with the ability and desire to work independently as well as collaboratively.
  • Strong work ethic and ability to multi-task, shift quickly from one task to another, prioritize, attend to detail and the big picture and follow-through on multiple project
  • High degree of productivity, responsiveness, initiative and flexibility, and a commitment to producing excellent work in a timely manner.
  • Flexibility to manage periods of varying workload.

Base salary range: $134,650.00 - $199,100.00 per year, depending on qualifications

Annual Target Incentive: Level 3, 15% target
Targets are calculated using eligible earnings during plan year participation. Payout, if earned, is based on company and individual performance for each plan year and may range from 0% – 200% of target. Targets are subject to change in subsequent plan years. Must be employed by September 30 in order to receive any prorated payout.
